Public Offer: Non-refundable Deposit Agreement

Definitions

1. Non-refundable Deposit: A payment made by a Member that is in the form of a deposit and that is not returned in the event of a cancellation or suspension of contract.
2. Dividend Payment Procedure: Monthly return of the deposit as remuneration to the Member is paid at a percentage of the deposit amount.
3. Non-refundable Deposit Agreement: A legally binding contract that outlines the amount and terms of a non-refundable deposit.

Agreement

1. AdKeeps Advertising Agency hereby acknowledges and agrees that, subject to receipt of an unconditional, non-refundable deposit (defined below), (a) its management will faithfully fulfill its obligations to return deposits in the form of monthly dividend payments, (b) accrue monthly dividends as an interest rate on the member’s deposits, (c) according to the approved payment calendar, transfer accumulated funds on time.
2. The conclusion of the transaction is considered when Member will remit the deposit amount (the “Unconditional Non-Refundable Deposit”) using the agency’s payment details (PayPal) in immediately available funds.
3. Member shall not withdraw the Unconditional Non-Refundable Deposit (or any portion thereof), and has the right to receive for the payment of dividend consideration of at least 100% per annum of the deposit amount. The validity period of this Public Offer is 1 (one) year from the date of its entry into force.
4. Promptly following notice of receipt of the Unconditional Non-Refundable Deposit, the Member must provide AdKeeps Agency with payment details through the user area of the website.
5. This Agreement executed by mutual consent of the parties online (via the Internet), and is considered signed at the time of transfer by the Member of the Unconditional Non-Refundable Deposit.
6. Any legal action, suit or proceeding arising out of or relating to this Agreement or the transactions provided for herein shall be brought solely in the courts of the Republic of Kazakhstan. Each party to this Agreement hereby irrevocably submits to the exclusive jurisdiction of such courts in respect of any legal action, suit or proceeding arising out of or relating to this Agreement or the transactions provided for herein, and hereby waives, and agrees not to assert, as a defense in any such action, suit or proceeding, any claim that it is not subject personally to the jurisdiction of such courts, that the action, suit or proceeding is brought in an inconvenient forum, that the venue of the action, suit or proceeding is improper or that this Agreement or the transactions provided for herein may not be enforced in or by such courts.
